Jay Ghingher practices general business law, with an emphasis on the representation of private companies, nonprofit organizations and real estate investment trusts. He handles the formation of all types of business organizations, as well as the planning, governance and transactional needs for business of all sizes.

Transactions

In his years of practice, Jay has represented clients in mergers and acquisitions, financing transactions, and the negotiation, preparation and review of business agreements of all kinds, including distributorship agreements, employment agreements, franchise agreements, technology and computer software licensing agreements, advertising agreements, supply agreements, sales agreements, non-competition agreements and management agreements.

Planning

Jay assists the owners of business companies with their succession planning and the preparation of the agreements necessary to implement the resulting succession plans. He coordinates these efforts with the estate planning of the business owners.

Nonprofit Organizations

Jay represents nonprofit organizations in their governance and transactional matters. He is counsel to the United Way of Central Maryland. He has assisted many new nonprofits in their organization and growth stages, and with transactions of all kinds.

Real Estate Investment Trusts

Jay has advised REITS in numerous transactions, primarily as Maryland counsel, including acquisitions, financings and public offerings, and has assisted them in addressing various issues of Maryland REIT and corporate law.

Jay serves as an Adjunct Professor at the University of Maryland Law School, where he teaches a course on Business Associations.

Represented the borrower in the refinancing of a $170 million line of credit

Represented the purchaser in the acquisition of a manufacturing company

Served as Maryland counsel in the initial public offering of a real estate investment trust

Implemented the roll-up of distributors of farming and construction equipment

Represented the seller in the sale of a group of convenience stores to multiple purchaser

Represented the borrower in obtaining a new $90 million credit facility
