Joe Denlinger concentrates his practice on mergers and acquisitions, software licensing, Hart-Scott-Rodino Antitrust Improvements Act reporting and general corporate business matters.
Mergers and Acquisitions
Joe has represented buyers and sellers in both acquisitions and dispositions in a variety of industries, including healthcare (hospitals/health systems, physician practices and skilled nursing/assisted living facilities), manufacturing and consumer products. Joe also has experience with mergers and acquisitions in the bankruptcy context, including "Section 363 sales," representing both buyers and sellers of distressed assets. Joe has substantial experience in the drafting of both stock and asset purchase agreements for buyers and sellers across multiple industries, as well as in leading due diligence teams in support of merger and acquisition transactions.
Software Licensing
Joe represents clients in both the healthcare and pharmaceutical industries with the procurement and implementation of software and related technology.
Hart-Scott-Rodino
Joe advises clients with respect to the requirements of the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended. Joe has substantial experience with the oversight, preparation and filing of premerger notification filings.
Representative Transactions
- Served as a member of the multi-lawyer legal team to the Equity Committee of existing shareholders in General Growth Properties, Inc., the second largest U.S.bankruptcy of an owner of shopping malls, in the over $6.5 billion recapitalization and reorganization into two separate companies
- Served as a lawyer for Fedders Corporation, an air conditioning and heating manufacturer, and a former NYSE public company, in the sale under the auspices of U.S. bankruptcy law, of substantially all of Fedders’ operating assets in the U.S., China and Western Europe
- Assisted with the divestiture of over $125 million in skilled nursing assets by client exiting the skilled nursing industry
- Assisted with the acquisition of over $50 million in assisted living assets by client in the assisted living industry
- Represented 45 member physician practice in its sale to a leading national operator of acute care hospitals for over $24 million
- Assisted with the merger of client engaged in the manufacture, sale, and distribution of prestressed/precast concrete products for over $7 million
- Represented client in the consumer healthcare industry with its acquisition of the assets used in the manufacture and sale of natural mouth rinses and toothpastes
- In connection with the liquidation of a client, represented client in the sale of its firearms accessories manufacturing and distribution assets
