Phil Bogart focuses his practice on representing a broad range of clients, including privately owned and managed companies, insurance brokerage companies, medical practices, nonprofit organizations and start-up companies. In addition, he has developed a niche practice counseling dental practices in numerous transactional matters.

General Corporate and Transactional Experience

Phil advises his clients on a wide variety of commercial arrangements including:

  • Equity and debt financings
  • Mergers and acquisitions  
  • Buy-sell agreements and business succession planning
  • Joint Ventures

Phil also acts as an informal outside general counsel to a number of clients that consult with him on an extensive range of issues, including risk management, vendor agreements, services agreements, employment issues, and many other day-to-day aspects of starting and running a business.

In light of today's heightened regulatory environment, he also assists privately held companies and nonprofits in adopting improved corporate governance guidelines.

Phil also advises professional fundraisers and charitable organizations on compliance issues in connection with state and federal fundraising and telemarketing regulations.

Dental Practice Transitions Experience

Over the years, Phil has represented a myriad of dental practices and gained valuable knowledge about the unique needs facing general dentists, oral and maxillofacial surgeons, pediatric dentists, orthodontists, endodontists and periodontists in business transactions and situations they encounter during the lifespan of their practices. Services he provides to dental practice clients include structuring, negotiating and documenting employee arrangements, partnership arrangements, acquisitions, separations and sales. He is a frequent contributor to Dentistry IQ, a publication that covers dental office management and offers resources for dentists to improve their practices through sound business advice.

In addition to his legal experience, Phil possesses a Master of Talmudic Law and a Bachelor of Talmudic Law from Ner Israel Rabbinical College, located in Pikesville, Maryland.
