Mr. Consedine is a partner and vice chair of the firm’s Insurance Practice Group. He concentrates his practice on regulatory and corporate matters involving insurance companies, reinsurers, producers and other insurance entities. He has assisted in the acquisition and formation of insurance companies, captive insurance companies, risk retention groups and reciprocal insurance exchanges. He has counseled policyholders, insurers, reinsurers and state guaranty funds on issues related to insurance company receiverships and runoffs. Recent representations include:
- Structuring a nationally recognized and innovative strategic alliance between two leading mutual insurance holding companies
- Representing a major Central Pennsylvania health insurer in raising anticompetitive and legal objections to the proposed merger of two other dominant Pennsylvania health insurers
- Counseling a national property and casualty insurer in its voluntary solvent run-off
- Advising and representing a major Asian-based insurance company on regulatory issues related to its $4.7 billion acquisition a large U.S. insurer
- Representing a large national insurer that serves military personnel in its $3.5 million acquisition and redomestication of a shell company from the estate of an insurer in liquidation.
He represents companies and individuals from across the country in insurance-related litigation, including complex market conduct and financial examinations, as well as enforcement actions. Recently, Mr. Consedine:
- Advised insurers and producers as part of a multi-state regulatory investigation and related civil actions concerning “stranger-owned life insurance” transactions
- Was involved in a state investigation into potential anticompetitive practices in the health insurance industry
- Counseled a large foreign-based insurance holding company on strategies for reducing its exposure to U.S. regulatory oversight and jurisdictional claims.
Prior to joining Saul Ewing, Mr. Consedine was Counsel for the Pennsylvania Insurance Department, where he represented the Department in federal, state and administrative litigation proceedings. In this position, Mr. Consedine provided legal advice and assistance in complex transactional filings made with the Department. He was the lead attorney assigned to the Department's implementation legislation permitting financial institutions to engage in the sale of insurance. He also represented the Department in several landmark enforcement actions against insurance companies engaged in illegal geographic discrimination as well as "churning" of life insurance policies.
Mr. Consedine has lectured on corporate and insurance law for the Pennsylvania Bar Institute, Insurance Society of Philadelphia, Central Pennsylvania Chapter of CPCU, and various clients of Saul Ewing. His lecture topics include health insurance reform, regulatory issues related to life settlements, insurance insolvencies, corporate governance, strategic guidance in responding to market conduct exams and investigations, producer licensing reforms, insurance and business e-commerce, and insurance sales practices compliance primer. In addition, Mr. Consedine has written extensively on issues involving insurance and reinsurance companies.
