Brenda Glaser Abrams

Brenda Abrams provides legal counsel on business contracts for health care industry clients, as well as on their operational and compliance issues. Physicians, dentists, and medical groups rely on her to negotiate and draft employment, shareholder, operating, and partnerships agreements. She also assists with medical director agreements and exclusive services agreement. Clients exploring a sale of their practice, a merger, the formation of a joint venture, or a corporate restructuring look to her for legal advice on these deals, as well for guidance on real estate acquisitions and leases. She also assists with matters involving third-party payor reimbursement.

Her practice also includes providing legal advice on daily business operations, including personnel issues, internal audits and compliance with federal laws and regulations including the Health Insurance Portability and Accountability Act of 1996 (HIPAA), the Stark Law and the Anti-Kickback Statute.

In addition to her work in the health care industry, Brenda advises non-profit organizations and privately held small businesses on contracts, corporate governance and business matters. This work includes transactions involving real estate, the formation of business entities, operating agreements, and mergers and acquisitions.

Four related anesthesia and pain management provider entities in their sale to a national multispecialty physician group and health care management team.
General Corporate Work
A non-profit corporation consisting of a consortium of academic medical centers and research institutions in contractual matters, including agreements to integrate new members. The consortium supports the development of the life sciences industry and advances technology commercialization by facilitating the development and transfer of academic research into the marketplace.
