John Crozier has a broad corporate practice, including advising private and public companies on securities offerings, capital market transactions, mergers and acquisitions, corporate governance and general corporate matters.

John represents issuers in a variety of transactions including initial public offerings and secondary offerings, at-the-market offerings, private placements, private investments in public equity (PIPEs), and sophisticated business combinations. John also counsels public companies on corporate governance matters, disclosure and compliance issues, including obligations under the Sarbanes-Oxley Act and the Dodd-Frank Act, as well as '34 Act reporting and compliance, and stock exchange listing requirements.

Additionally, John advises both private and public companies, and private equity funds on mergers and acquisitions, entity formation, divestitures and general contract matters.

John also maintains an active pro bono practice in advising nonprofit organizations on formation, federal and state compliance, and applications for IRS exempt status.

While in law school, John was a judicial extern for the Honorable Donovan W. Frank in the U.S. District Court, District of Minnesota.
