K. Daniel Berman
Daniel Berman is a tax lawyer who helps clients structure and negotiate tax-related provisions for a variety of transactions. His experience includes handling equity offerings, investment-grade and high-yield debt offerings, convertible debt offerings, and leveraged finance and bespoke derivative transactions. He drafts and reviews documentation and disclosures for these transactions and advises on tax consequences. Private equity funds also look to Daniel for assistance with tax-related provisions of partnership agreements, side-letter provisions and subscription booklets, as well as advice on structuring fund investments and related financing. When public and private companies merge, Daniel drafts, negotiates and reviews transaction documents, including stock purchase agreements and merger agreements. He also represents corporate clients in tax-related disputes.
Daniel was at the forefront of developing software that automates economic analysis of financial products and produces relevant tax documentation and SEC disclosures.
While in law school, Daniel served as an intern for the New York City Department of Consumer Affairs.
