Leah Leyendecker is an advisor to clients on a range of corporate and intellectual property matters. Leah guides entrepreneurs and start-ups through the process of initial formation, and advises start-ups and established companies on general corporate affairs, contract negotiations, merger and acquisition transactions, as well as business and transactional aspects of intellectual property protection.

Leah's experience includes advising clients regarding: mergers and acquisitions, governance, and other strategic business arrangements; commercial agreements, with a particular focus on technology-based agreements; commercialization of intellectual property assets; domestic and international trademark and brand management strategy; marketing, advertising and social media issues, including compliance with FTC advertising and marketing regulations; and compliance with domestic and international data privacy laws.

Leah also assists clients in the developing field of esports, including organizations operating Esports team entities, event production companies, social media influencers and broadcasting personalities. In this area of her practice, she provides legal counsel on matters involving organization, team formation and employment, training/practice facilities and home venues. She also advises on intellectual property matters such as trademark and social media assets, right of publicity and sponsorship matters, music licensing and clearance, and vendor agreements.

  • Several fitness boutiques on intellectual property protection and enforcement strategy and brand protection matters.
  • A start-up on entity conversion and corporate governance matters.
  • A private investment fund in connection with esports investments, including organizational matters; team formation and employment matters; training/practice facilities and home venue matters; intellectual property matters, including trademark and social media assets, right of publicity and sponsorship matters, music licensing, and clearance; and vendor agreements.
