Randall S. Kulat focuses on tax-exempt finance, banking and secured lending and corporate law. Randall has more than 38 years of experience in a varitey of complex financial transactions. He has served as bond counsel, underwriter's counsel, borrower's counsel, issuer's counsel, disclosure counsel, transaction counsel, credit facility provider counsel and bond purchaser's counsel in many areas of public finance, including industrial development bonds, Section 501(c)(3) revenue bonds, special service area financings, tax increment finance transactions, general obligation financings, alternate revenue and tax securitization bonds. He has advised bond issuers such as counties, cities, towns, villages, school districs, community college districts and water districts. He has also assisted municipal advisors in various regulatory compliance matters.
Randall has also represented national and regional lenders in a variety of loan transactions, including commercial, industrial and residential real estate development loans, asset-based loan and other corporate loans, as well as assisting lenders in the workout and restructuring of troubled loans and loan sales. His experience includes representing lead and mezzanine lenders in financings for mixed-use public/private redevelopments, hotels, charter schools, office buildings, shopping centers, factories, nursing homes, high-rise condominium buildings, single family/townhome developments and condominium conversions. He has also assisted developers in reviewing and negotiating construction loan documents to finance mixed use or residential projects in Florida, Colorado and Arizona.
