Raymond D. Agran, a partner in the Business Department, is quoted in this article about opportunities that arise during a tough economy, particularly with regard to cross-border deals involving struggling companies. In the article, Agran recommends that in-house counsel educate themselves about the "363 sale" process, where assets of insolvent companies can be sold off free of liens and encumbrances.
While Agran has handled numerous mergers and acquisitions over the years, he says he has done "a boatload" of 363 deals recently. "There's so much leverage all over the place, and people say they're going to fight a little bit harder than they might in other environments, and then what happens is you have the court as a civilized way of dealing with this degree of frustration," Agran says.
