Brenda Glaser Abrams, Experienced Legal Advisor to Physicians, Dentists and Medical Groups, Joins Saul Ewing Arnstein & Lehr’s Health Care Practice in Philadelphia

In joining Saul Ewing Arnstein & Lehr’s Philadelphia office, Brenda Abrams brings to the firm her considerable experience advising clients in the health care industry on business contracts and operational and compliance issues. She joins the firm as counsel in the Health Care Practice.

Ms. Abrams negotiates and drafts employment, shareholder, operating, and partnership agreements, as well as stock purchase agreements, membership interest purchase agreements, medical director agreements, and exclusive services agreement. She provides legal advice on sales of practices, mergers, formations of joint ventures, and corporate restructurings, along with guidance on real estate acquisitions and leases. She also assists with matters involving third-party payor reimbursement.

Some of Ms. Abrams’ notable health care engagements include:

  • Representing four related anesthesia and pain management provider entities in their sale to a national multispecialty physician group and health care management team.
  • Advising related dental entities in a tax-driven corporate reorganization in preparation for their sale to private equity.

Ms. Abrams’ practice also includes providing legal advice on daily business operations, including personnel issues, internal audits and compliance with federal laws and regulations including the Health Insurance Portability and Accountability Act of 1996 (HIPAA), the Stark Law and the Anti-Kickback Statute.

In addition to her work in the health care industry, Ms. Abrams advises non-profit organizations and privately held small businesses on contracts, corporate governance and business matters. This work includes transactions involving real estate, the formation of business entities, operating agreements, and mergers and acquisitions.

Ms. Abrams earned her J.D. from American University, Washington College of Law and her B.A. from Simmons College.
