George Naya Brings Significant Capital Markets Experience to Saul Ewing Arnstein & Lehr’s Washington, D.C. Office

George Naya has joined Saul Ewing Arnstein & Lehr as a partner in its Washington, D.C. office. Mr. Naya brings to the firm a broad practice centered on U.S. securities laws, corporate governance, and capital markets transactions. Mr. Naya is a member of the firm’s Corporate Group, focusing on its Securities Transactions and Regulations and Corporate Governance practice areas.

Mr. Naya assists companies in a diverse array of industries with SEC disclosures, including quarterly and annual reports, proxy statements, and strategic responses to SEC comment letters. He also provides support ahead of annual shareholder meetings, including supporting legal and investor relations teams with shareholder engagement and responding to shareholder proposals. In addition, Mr. Naya regularly advises on a wide variety of both domestic and international capital markets and other financing transactions, and he provides counseling on disclosure, financing, governance, and re-organization issues for companies involved in IPOs, spin-offs and mergers.

On the governance side of his practice, Mr. Naya advises on sensitive issues, including drafting insider trading policies and pre-clearing a variety of transactions. He also works with companies on annual governance exercises.

Some of the notable deals that Mr. Naya handled prior to his move to the firm include:

  • Advising E*TRADE Financial Corporation and Morgan Stanley on SEC disclosure and governance matters as well as on capital markets offerings in excess of $5 billion.
  • Assisting public companies in a wide variety of industries with note offerings, with an aggregate principal amount in excess of $10 billion.
  • Assisting numerous public companies in submitting no-action letters to the SEC regarding shareholder proposals.

Mr. Naya earned his J.D. from the University of Virginia School of Law and his B.A. from University of Florida.
