Vanessa Schoenthaler, Experienced Securities Transactional Attorney, Joins Saul Ewing Arnstein & Lehr’s Corporate Practice in New York

In joining Saul Ewing Arnstein & Lehr’s New York office, Vanessa Schoenthaler brings to the firm deep experience advising clients on securities transactions and the disclosure obligations that arise from those transactions, matters of corporate governance and compliance with securities-related federal and state regulatory requirements. She joins the firm as a partner in the Corporate Practice.

Ms. Schoenthaler provides mid-market public companies, start-ups, venture capital and private equity firms and other institutional investors with guidance on corporate and securities issues. Investors, funds and companies alike rely on Ms. Schoenthaler’s advice to guide them through the capital-raising process, ranging from securing early round financing through initial public offerings and follow-on financing transactions, such as registered and exempt offerings of equity, equity-linked and debt securities.

Ms. Schoenthaler’s corporate finance experience includes counseling issuers of securities on their periodic and ongoing disclosure obligations, corporate governance practices, compliance programs and exchange listing requirements. She also advises these clients on a variety of business transactions including joint ventures, equity compensation arrangements, and mergers, acquisitions and dispositions.

Some of Ms. Shoenthaler’s past engagements include:

  • A public real estate partnership in a $750 million IPO and subsequent acquisition of a real estate investment trust through a registered tender offer.
  • A private equity fund with an excess of $1 billion in assets under management in a series of debt investments in an OTC-listed alternative energy company, including with respect to its related Schedule 13D filing requirements.
  • A financial sponsor in the acquisition of a registered investment adviser with more than $50 million in assets under management.

Ms. Schoenthaler earned her J.D. from Pace University Law School and her B.A. from State University of New York at Stony Brook.
