Select representations include:

  • A shareholder of a company in a multi-million dollar minority shareholder oppression claim. The case involved extensive financial discovery and forensic accounting relating to the shareholder's interests in an iconic beachfront resort in Miami Beach. The case was favorably settled on the eve of trial.
  • A company that is an industry leader in cloud-based electronic medical records for recovery and addiction treatment centers in a federal court jury trial. The dispute centered on the client's claim against a competitor for wrongfully copying portions of its database-backed website after having obtained access to its system through a third party. The jury found in favor of the client and awarded $19.5 million in damages for claims of breach of contract and unfair competition.

Select representations include:

  • The American subsidiary of a French multinational company in connection with a tender offer sponsored by the Ministry of Energy and Mines of the Republic of Guatemala, on a 25-year operating contract for an oil field in that country. In the course of the deal, Javier advised the business executives and petroleum engineers and negotiated the operating contract in Spanish with the Ministry. He also dealt with the Overseas Private Investment Corporation ("OPIC") to obtain political risk insurance, and he reviewed terms for compliance with the Foreign Corrupt Practices Act. The transaction also involved interactions with the U.S. Ambassador to Guatemala.
