Superior Court Requires Unequivocal Acceptance in First-Offer Case

In this article, Martin J. Doyle a Partner, in the Transactional Real Estate Practice Group, explain the right of first refusal (ROFR) as it pertains to Delaware River Preservation Co. Inc. v. Miskin.

The Superior Court ruled in this case that if a response to an offer made pursuant to a ROFR does not "unequivocally accept" the terms of the offer, the ROFR is not validly exercised and there is no contract.
