2008 SEC Reporting Rules Books

A team of Saul Ewing securities lawyers has edited the 18th edition of a series of books containing SEC reporting rules. These books are only available for download and may be obtained by following the instructions set forth below.

The first two books included in this year's collection are the 2008 SEC Reporting Rules for Forms 10-K, 10-Q and 8-K and 2008 SEC Reporting Rules for Proxy Statements, which are intended for use by most public companies, including companies that meet the new definition of "smaller reporting companies." The scaled disclosure requirements that may be used by smaller reporting companies are included in these books.

The third book, 2008 SEC Reporting Rules for Forms 10-KSB, 10-QSB and 8-K – Transitional Rules for Small Business Issuers, contains rules applicable to companies that formerly qualified as small business issuers under prior SEC rules.

The SEC disclosure rules are complex. Saul Ewing's books are unique because they present the rules in a "user-friendly" format that interweaves Regulation S-K or Regulation S-B, as applicable, with the text of the disclosure form, thus making it easier to review the complete disclosure requirements for a particular issue.
