Julie Workman, Partner at Saul Ewing LLP, will be speaking on September 3rd during the ABA Business Law Fall Meeting 2026. Julie, along with several other attorneys, will be presenting on the topic "60 Minute Wonder--Onboarding a Specialist Lawyer to Your M&A Transaction Team."
“So you're saying..."--this program will outline the key concepts a specialist lawyer joining a transaction team must understand through an overview of an acquisition agreement and the lifecycle of transaction followed by a discussion of the application of those concepts with specialist lawyers practicing in the areas of real estate and health care regulation.
Topics will include mindset differences between transaction practice, and advocacy and planning practices, differences between buy-side and sell-side engagements, the purposes of due diligence and representations and warranties, disclosure schedules, risk allocation and R&W insurance, cycle time expectations, due diligence reports, RWI underwriting, and indemnification claims.
