In his practice, Mr. Carroll advises domestic and international clients on a variety of corporate transactions, including mergers and acquisitions, stock purchases, asset sales, conversions, domestications, and dissolutions. He frequently provides legal opinions on corporate and alternative entity matters, particularly for transactions involving real estate, investment funds, joint ventures, and structured finance. Mr. Carroll frequently provides advice to boards of directors in connection with corporate governance and fiduciary duty matters.
Mr. Carroll earned his B.A. from the University of Virginia and his J.D. from Cornell Law School. He also has a Master of Business Administration from the University of Oxford.
