Webinar: 2023 Delaware Law Year in Review & CTA Developments

A 2023 update on corporate litigation in the Delaware Court of Chancery, as well as an update on the annual amendments made to the General Corporation Law of the State of Delaware and alternative entity acts, which were all effective as of August 1, 2023. The material statutory amendments discussed include: 

  • a simplified process for ratifying defective corporate acts; 
  • elimination of the need for stockholder approval for certain forward and reverse stock splits; 
  • and a new insolvency exception for sales of corporate assets.


In addition, with the Corporate Transparency Act ("CTA") going into effect January 1, 2024, we provided an understanding of how the CTA imposes new compliance obligations on U.S. and Foreign entities and how lawyers and firms can prepare to meet these challenges.
