Experienced Employee Benefits and Executive Compensation Attorneys Thomas Cryan and Katelyn Winslow Join Saul Ewing

WASHINGTON, DC, (JULY 31, 2024) – Saul Ewing LLP is expanding its Employee Benefits and Executive Compensation Practice with two attorneys, Partner Thomas Cryan in the Washington, D.C. office and Counsel Katelyn Winslow in the Philadelphia office. Together, they bring clients 35 years of experience advising on legal issues connected with executive compensation, fringe benefits, employment tax and related government reporting.

Mr. Cryan works closely with the legal, tax and benefits departments for companies to advise them on taxation and reporting of perks including stock options, the personal use of corporate aircraft and other travel benefits, medical benefits, qualified employee discounts, on-site employer cafeterias, deferred compensation, settlement payments, and golden parachute payments.

He also advises on issues relating to FICA, deduction limitations, as well as compliance with the Affordable Care Act and the tax implications of the Employee Retention Credit. Additionally, he provides advice on tax issues that arise when companies operate across state borders and employ workers who work remotely or have roles that are mobile in nature. He also defends companies facing IRS and state employment tax and executive compensation audits.

Ms. Winslow advises senior executives and in-house legal teams on executive compensation, qualified retirement plans, and health and welfare benefits, particularly when they are completing mergers, acquisitions and other large-scale, complex deals and private equity transactions. Kate also guides niche clients on more focused transactions. Her advice in these deals takes into account tax compliance, corporate governance requirements, and employee morale.

Ms. Winslow also collaborates with senior HR, tax, and financial business leadership to identify, design, draft, and implement strategic goals and priorities with respect to employee compensation and benefits arrangements, communication strategies, and educational initiatives for executive-only and company-wide plans and programs. She also negotiates and drafts executive employment and severance agreements, incentive compensation plans, perks and equity-based arrangements for executives.

Mr. Cryan earned a J.D. from George Mason University School of Law and an LL.M. in Taxation from Georgetown University Law Center. He also has a B.A. from Washington and Lee University. Ms. Winslow earned a J.D. from American University Washington College of Law and an LL.M. in Taxation from Georgetown University Law Center. She also has a B.A. from Florida State University.
