Gary Lipkin Brings Significant Corporate and Commercial Litigation Experience to Saul Ewing

Gary Lipkin brings more than two decades of legal experience to his new role as a partner in Saul Ewing’s Litigation Department, including handling a diverse range of cases before the nation’s preeminent business court, the Delaware Court of Chancery. He resides in the Firm’s Wilmington office.

Mr. Lipkin routinely represents clients in cases including Delaware-specific statutory actions; shareholder, class and derivative actions; merger and acquisition disputes; actions involving breaches of partnership and LLC operating agreements; actions involving the interpretation and enforcement of corporate bylaws and certificates of incorporation; trademark infringement actions; business tort litigation; breaches of contract; and employment litigation involving breaches of non-compete and non-solicitation provisions.

Mr. Lipkin also provides advice to corporate boards and officers with respect to corporate governance matters.

Some of Mr. Lipkin’s notable representations include:

  • Representing a shareholder in a trial before the Delaware Court of Chancery in an action seeking to invalidate a director’s purported issuance to himself of over 75 percent of the company’s stock on the grounds that the transaction did not meet the entire fairness test. The court ultimately ruled in the shareholder’s favor and the decision was affirmed by the Delaware Supreme Court.
  • Obtaining an order dissolving a Delaware limited liability company in a contested action before the Delaware Court of Chancery.
  • Representing members of a newly formed LLC in a trial before the Delaware Court of Chancery in an action involving claims of breach of an LLC operating agreement as well as breach of the implied duty of good faith and fair dealing for the company’s failure to trigger an earnout.
  • Advising a board of directors regarding its statutory obligations in connection with the sale of all or substantially all of a Delaware company’s assets.

Mr. Lipkin earned his J.D. from Widener University Delaware Law School and his B.S. from Pennsylvania State University.
