Overview

George Naya advises public and private companies on corporate, securities, and governance matters, from day-to-day legal needs to capital raising, M&A transactions and SEC compliance. Before returning to private practice, he was in-house counsel at Morgan Stanley and E*TRADE, where his work included allocating resources across competing priorities, hiring staff, and advising executives directly.

His securities and governance practice covers SEC disclosure, proxy season, shareholder engagement, Section 16 compliance, 10b5-1 trading plans, insider trading policy design, director independence, and related-party transactions.

On the transactional side, George has advised domestic and foreign companies, startups, financial institutions, and foreign government agencies on debt and equity offerings, tender offers, exchange offers, and private placements. He has counseled companies through IPOs, spin-offs, and mergers on disclosure, financing, governance, reorganization, and post-closing integration. He has also worked with internal audit teams and has advised companies on crisis responses in coordination with management and outside consultants.
