Jake Hilt advises privately held and emerging companies on a broad range of strategic transactions and governance matters, including mergers and acquisitions, entity formation, and day-to-day commercial contracting. 

Business owners and management teams rely on Jake to manage the transaction process from term sheet to closing. This includes handling due diligence review, drafting and reviewing disclosure schedules and managing transaction checklists. His M&A experience also includes drafting and negotiating asset and stock purchase agreements and ancillary transaction documents. In his commercial contract work, he negotiates a variety of agreements, including service agreements, non-disclosure agreements, and consulting arrangements. He also assists clients in structuring and documenting governance frameworks, including partnership, operating, and shareholder agreements, as well as corporate resolutions and business succession plans.

Jake draws on his accounting background to provide clients with a practical, financially informed perspective on managing both the strategic upsides and risks of corporate deals. He previously worked in professional services firms, where he assisted clients with tax, financial and employee benefit issues. Before he practiced law, Jake was a U.S. Army Ranger.
