  • Represented a UK-based global manufacturer of specialty chemicals and other advanced materials in review and negotiation of more than 100 agreements of sale for industrial and automotive catalysts, refined platinum-group metals and related manufactured products.
  • Represented the same UK company in review and negotiation of more than 100 agreements for provision of process diagnostic and chemical tracer services to oil and gas production and refining companies.
  • Ongoing representation of a Swedish specialty pharmaceutical company in connection with negotiation of master services and project agreements for a contract sales organization (CSO) to market a newly-approved drug in the U.S. and subsequent onboarding of its sales force.
  • Ongoing representation of numerous businesses in the manufacturing, financial services, insurance and health care sectors in commercial contracting matters, including purchase and sale of goods, procurement and provision of services, and professional services contracts.
  • Ongoing representation of a prominent state university and several liberal arts colleges in connection with procurement activities, including review, drafting and negotiation of master services agreements, information technology acquisition agreements, financial services contracts and other vendor agreements.
  • Represented a UK-based global pharmaceutical company in negotiation and drafting of master services and project agreements for CSO and outsourced customer service programs employing over 1,500 persons.
  • Represented a different UK-based pharma company in negotiation and drafting of master services and other agreements for procurement of information technology, consulting and other services.

     

General Corporate

  • Ongoing representation as external counsel to the leading U.S. provider of specialty home infusion services, including representation in licensure, certificate of need and regulatory compliance matters nationwide.

Debt Financing

  • Ongoing representation of a Pennsylvania community-chartered federal credit union in connection with its Member Business Loan program, including documentation of all credit transactions.
