Kevin Kang is a tax attorney who advises corporate clients on the federal and state tax aspects of M&A transactions. His experience includes advising private equity sponsors and strategic buyers and sellers across an array of industries in asset and equity acquisitions, rollovers, pre-closing reorganizations, and post‑closing integrations.
Kevin coordinates with corporate deal teams and opposing counsel to draft and negotiate tax provisions in purchase agreements, reorganization agreements, LLC agreements, and other deal related documents. He leads tax structuring and research across Subchapters C, K, and S, and multistate tax regimes to optimize transaction outcomes and ensure compliance. His practice also includes preparation and review of other tax-relevant transaction documents, such as subscription agreements, contribution agreements, operating agreements, plan of reorganization, various tax filings in connection with reorganizations, purchase price allocation methodologies, and schedules.

Kevin's perspective on corporate tax issues is informed by his prior work as a senior tax consultant for Deloitte Tax LLP, where he performed tax structuring and tax due diligence for domestic and cross-border mergers and acquisitions and managed deal execution from bid stage through closing. Further, he previously prepared federal and multistate income tax returns for various business entities, including but not limited to partnerships, S corporations and C Corporations in a prior role as a tax associate for a professional services firm.
In addition to his experience with tax matters, Kevin supports overseas clients for initial inbound procedures and establishing a footprint in the United States.
