Distressed Company Transactions
- Oversaw resolution process through restructuring, forbearance and foreclosure for over 300 troubled commercial real estate loans held by a Chicago bank.
- Counseled chief restructuring officer in the execution of a turnaround to position the business, which had defaulted on a $22 million credit facility, for sale, enabling the lender to restructure credit through a sale under the Uniform Commercial Code. Engagement involved defeating litigation brought by the company franchisee from trial court through denial of certiorari by the U.S. Supreme Court.
- Represented the purchaser of intellectual property assets through a UCC sale facilitating the launch of a new real estate services website.
- Represented multiple commercial real estate receivers in court proceedings involving properties such as office buildings, shopping malls, and warehouse and industrial buildings.
- Conducted and participated in numerous sales under the Uniform Commercial Code, on behalf of assignees for the benefit of creditors and under Section 363 of the Bankruptcy Code facilitating the sale of distressed business as going concerns or by liquidation. Many of these transactions allowed the secured lender to maximize recovery while preserving jobs in the troubled companies by finding new owners prepared to revive the businesses.
- Supervised extensive litigation matters on behalf of lenders and other financial services companies in federal, state and bankruptcy courts.
