  • An enterprise software development firm in the sale of all of its equity to a technology management and consulting firm. The transaction included a pre-closing tax-free corporate reorganization and a total transaction value of $150 million.
  • A leading salty snack brand/company in its sale to a multinational company and one of the largest chocolate manufacturers in the world with a total transaction value of $900 million.
  • An ESOP-owned engineering services firm in its sale to a Canadian public company, including a pre-closing reorganization, and the simultaneous disposition of multiple non-accretive subsidiaries, with an enterprise value of approximately $50 million.
  • A public company in the medical and adult-use cannabis industry, in multiple acquisitions of dispensaries, and cultivation and processing operations, in Pennsylvania, Maryland and other markets.
  • A private equity fund on its qualified opportunity zone investment in a Class A mixed-use real estate redevelopment project in Washington D.C.  
  • A private equity fund on its investment in a continuation vehicle, including tax planning and structuring for the vehicle’s domestic and offshore investment assets.
