Overview

Soobin Kim advises strategic and institutional investors, private equity firms, venture capital firms, startups and other growth companies on complex mergers and acquisitions and early to late round financing transactions. His practice includes representations of domestic and foreign clients and involves transactions that frequently span multiple jurisdictions, with a particular focus on the Asia/Pacific region where Soobin spent over a decade working for one of the largest law firms in Korea. 

Soobin has over 15 years’ experience working on M&A transactions on behalf of private equity clients, strategic investors including multi-national companies and large family-owned businesses. He also works with tax, regulatory, employment, IP, privacy, and environmental teams to address issues that can affect the value, timing, or structure of deals. In addition to his commercial and pragmatic approach to leading transactions, Soobin is particularly attuned to the needs of foreign clients who carry out acquisitions and investments in the United States, advising them not only on regulatory matters that touch upon inbound transactions (such as CFIUS, export control and sanctions laws, and other industry-specific regulatory matters including Bank Holding Company Act compliance for foreign banking organizations) but also is able to guide clients on the operational aspects of acquiring and running a company in the United States.

Soobin also has extensive experience advising on corporate financing transactions, and he represents both issuers and investors in venture capital financings, from seed and early-stage rounds through later-stage and pre-exit investments. He helps clients evaluate financing structures, navigate governance and investor rights arrangements, and prepare for future capital-raising and liquidity events. 

A native Korean speaker, Soobin also represents clients from Korea and other parts of Asia and Europe on a diverse range of matters including joint ventures, corporate restructurings, re-incorporation in the United States (including advising on so-called “Delaware flip” transactions), regulatory issues and other legal matters that typically touch on the day-to-day governance of U.S. subsidiaries and affiliates of foreign companies. In serving foreign clients, Soobin draws on his experience, knowledge and cultural sensitivities which he has gained through working and living across several different countries in Asia, Europe and North America
