Thomas Cryan advises Fortune 100 clients and other large employers on legal issues connected with executive compensation, fringe benefits, employment tax and related government reporting. Drawing on more than 25 years of practice, Tom works closely with the legal, tax and benefits departments for companies to advise them on taxation and reporting of perks such as:

  • Stock options
  • Travel benefits including the personal use of corporate aircraft
  • Medical benefits
  • Qualified employee discounts 
  • On-site employer cafeterias
  • Deferred compensation under Section 409A of the Internal Revenue Code
  • Settlement payments
  • Golden parachute payments under provisions in IRS Code §280G

The depth of Tom’s knowledge on employee benefits and executive compensation issues is reflected in his appearances as a frequent speaker for the Tax Executive Institute, the American Benefits Council and the American Bar Association. He has also been interviewed by major news organizations including the Wall Street Journal, CNN and Fox News, and he is a co-author of the Tax Management Portfolio on Golden Parachutes.

Tom also advises employers on issue relating to IRS Code §3121(FICA) and the deduction limitation under Code §162(m), as well as compliance with the Affordable Care Act and the tax implications of the Employee Retention Credit. Clients also look to him for advice on tax issues that arise when companies operate across state borders and employ workers who work remotely or have roles that are mobile in nature, particularly those in the technology, energy, and health care industries. Tom’s experience advising on IRS administrative practice and procedure is extensive, and he draws on this knowledge to defend companies facing IRS and state employment tax and executive compensation audits.
