Zack previously served as Vice President and General Counsel for Trulieve Cannabis Corp., where he led both in-house and external legal teams through a transformative $2.1 billion acquisition, guiding the company’s expansion into one of the nation’s largest publicly traded cannabis operators. Earlier in his career, he served as General Counsel and Chief Compliance Officer for Cansortium Holdings LLC, where he developed and implemented governance frameworks and compliance programs for a multi-jurisdictional enterprise and facilitated its initial public offering.
Zack leverages deep experience in regulatory compliance to provide strategic counsel on banking and insurance compliance and regulatory policy development, ensuring clients can operate confidently in highly regulated and rapidly changing markets.
He also advises companies on corporate and transactional matters, having overseen the formation of dozens of business entities across multiple states and internationally. He advises on public offerings, corporate governance, financing transactions, and cross-border joint ventures. Additionally, Zack provides strategic counsel on antitrust issues, particularly the premerger notification and the merger review process required under the Hart-Scott-Rodino (HSR) Act. He also assists with HSR reportability and transaction structure issues.
